Corporate Registry services include searches, certificates and historical information on Alberta societies, non-profit corporations, trade names or sole proprietorship, partnership and corporations. Services also include registrations, revivals, name changes and other amendments, filing annual returns for Alberta and Extra Provincial corporations, annual reports for Alberta and Extra Provincial limited liability partnerships and amendments for trade names, partnerships and limited partnerships.

McKillop Registry Services registers Alberta Incorporations on behalf of Corporate Registry. The word “limited” at the end of an Alberta Corporation’s name implies that liability of the corporation’s shareholders is limited to the money they paid to buy the shares.

Registration of Trade names/Sole Proprietorship/Partnership
Owner by sole proprietorship or partnership carries unlimited personal legal responsibility for debts incurred by the business.

Maintenance of Corporations
Annual returns provide information regarding the shareholders of corporations and extra-provincial registrations, directors and officers as well as records address of the corporation. Annual returns are required to be filed annually. If the Annual return is not filed, notice to have the corporation struck will be filed at Corporate Registry and sent to the directors and shareholders.
Cost of filing the Annual Return at McKillop Registry is $22.00.

Amendments to Corporations

Change of Address, Director/Shareholders, Attorney
Alberta Corporations must file within 15 days of their change of address or change of directors for the Corporation.

Extra-Provincial Corporations must file within one month of any changes in directors, address or changes to the attorney for service whether it is the primary or alternative attorney.

Cost of filing amendments at McKillop Registry is $10.00 or can be filed free of charge at time of Annual Return.

Business Names/Searches
We provide two types of name searches, name search and Nuans report. For Trade names and Partnerships we recommend a name search. This search will provide information on the status of the name, whether it can be used for a Trade name or Partnership. The Corporate Registry Act does not have rules governing duplicate Trade names or Partnerships however it is not recommended. Nuans reports are required when registering an Alberta Named Incorporation. Nuans reports search the proposed name and reserve that name for 90 days from the time it is requested until the corporation is registered. Duplicate or similar names cannot be registered for an Alberta Named Incorporation unless the Corporation has been struck for more than 6 years.
